Loan agreements are a common feature in today’s business landscape. Whether you are a borrower looking for help with cash flow, or an investor looking to generate passive income, it is important to create a proper loan agreement which clearly defines the key terms of the arrangement. Many DIY loan agreements or oral agreements end up being overly ambiguous even in relation to key terms – or fail to consider many aspects of the arrangement.
Without a clear agreement, you’re in trouble
Loan agreements are complex documents, and are usually heavily biased in favour of a lender. Failing to clearly state the terms of the loan to provide for special circumstances can leave the parties with an ambiguous loan agreement which results in disputes. A borrower without a properly negotiated loan agreement might find that the agreement is excessively biased in favour of the lender. This could result in the borrower having to pay the loan earlier than expected, pay high-interest rates and cover the legal fees of the lender. A lender without a proper loan agreement might find it difficult to recover the loan amount, particularly if further advances are made after the original agreement. The agreement may have inappropriate enforcement mechanisms and could result in the lender having to commence proceedings and paying high legal fees.
